Terms of Service.
The agreement that governs your use of the OneTeam app and website. The companion to our Data Privacy Agreement (which governs how we handle student data) and Privacy Policy.
1. Who we are
OneTeam is a product of Foxtide, LLC (“Foxtide,” “OneTeam,” “we,” “us”), a Washington limited liability company with its principal place of business at 11615 Holmes Point Drive NE, Kirkland, WA 98034. By creating an account or using the OneTeam app or website (collectively, the “Service”), you agree to these Terms.
2. Who can use OneTeam
OneTeam is used by adult staff and parents only. Children do not have OneTeam accounts, do not log in, and do not interact with OneTeam directly. Information about children under 13 is processed by OneTeam at the direction of the school under COPPA’s school-authorization rule (16 C.F.R. § 312.5(c); see our COPPA Notice).
OneTeam is intended for two audiences:
- Teachers and school administrators employed by a school that has authorized OneTeam, acting under the school’s direction.
- Parents and guardians of students enrolled in a school that uses OneTeam, accessing data the school has authorized us to share.
You must be at least 18 years old or have your school’s authorization to create a teacher or administrator account.
3. Accounts
You are responsible for keeping your account credentials secure and for all activity under your account. Notify us immediately at support@oneteam.school if you suspect unauthorized access. Except in cases of safety or security urgency, we will provide reasonable advance notice before suspending or terminating a school’s account, including the basis and an opportunity to respond. Individual accounts that appear compromised or in violation of these Terms may be suspended without prior notice.
4. Acceptable use
You agree not to:
- Use OneTeam for any purpose unauthorized by the school whose data you access.
- Attempt to access data, accounts, or systems you are not authorized to access.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Upload malicious code, attempt to overwhelm our infrastructure, or interfere with other users.
- Use OneTeam to send unsolicited messages, harass students, or share content that violates the school’s code of conduct.
- Scrape, crawl, or use automated tools against the Service without our prior written consent.
5. School data and your responsibilities
Schools using OneTeam are the data controllers for student records. OneTeam acts as a “school official” under FERPA, processing data only on behalf of the school. Teachers and administrators agree to enter only data the school has authorized for inclusion in OneTeam, and to keep that data accurate and up to date. The full data-handling terms are governed by the signed Data Privacy Agreement between OneTeam and the school.
6. Microsoft Teams integration
Schools may opt to send adaptive-card notifications to a Microsoft Teams channel. By configuring the integration, the school authorizes OneTeam to transmit notification content to the Microsoft Teams webhook URL the school provides. OneTeam is responsible for the secure transmission of notification content from OneTeam to the configured webhook. Once delivered to Microsoft’s services within the school’s own M365 tenant, the data is governed by the school’s existing agreement with Microsoft. The school remains responsible for ensuring that the receiving Teams channel is accessible only to staff with a legitimate educational interest in the affected students and that the integration aligns with its FERPA disclosure policies.
7. Intellectual property
OneTeam, the OneTeam logo, and all software, design, and content of the Service are owned by Foxtide, LLC. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose. Schools retain ownership of all student records and other educational data entered into the Service. Individual users do not have any personal ownership claim over school-owned data they enter or generate within the scope of their employment or authorized parental access. OneTeam uses such data only to provide the Service to the school as described in our Privacy Policy and DPA.
8. Pricing and payment (for schools)
Schools licensing OneTeam pay the fees specified in their order form or invoice. Individual classroom teachers may use a free tier as offered. Pricing changes for renewals require at least 60 days’ written notice and apply only to renewal terms, not the term in progress.
9. Termination
You may stop using OneTeam at any time. Schools may terminate their license per the order form. Free-tier individual users may stop using the Service and request deletion of their account at any time by emailing support@oneteam.school. We may suspend or terminate accounts that materially violate these Terms, with reasonable notice except in cases of safety, security, or legal urgency. On termination of a school’s license, all student data is deleted within 30 days, as detailed in the DPA.
10. Disclaimers
The Service is provided “as is” without warranties of any kind, express or implied, except as required by law. We do not warrant that the Service will be uninterrupted, error-free, or that defects will be corrected immediately. Nothing in this disclaimer limits OneTeam’s data-handling obligations under the Data Privacy Agreement, which is incorporated by reference and supersedes the warranty disclaimers in this section to the extent of any conflict. OneTeam does not provide educational, clinical, or legal advice; tier suggestions and analytics are decision-support tools, not substitutes for professional judgment, and are not assessments under IDEA, Section 504, or state special-education law. They must not be used as the sole basis for tier classification, eligibility determination, or placement decisions.
11. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to the Service is limited to the fees paid by your school for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. Some jurisdictions do not allow these limitations; in those, our liability is limited to the maximum extent permitted.
12. Indemnification (for schools)
Schools agree to defend, indemnify, and hold harmless OneTeam from claims arising out of (a) the school’s use of the Service in violation of these Terms or applicable law, or (b) data the school enters into the Service that infringes third-party rights. OneTeam similarly defends schools against claims that the Service itself infringes third-party intellectual property rights, subject to the limitations in the order form.
13. Changes to these Terms
We may update these Terms. Material changes will be announced with at least 30 days’ prominent notice in the Service or by email to the school’s primary contact. Continued use after the effective date constitutes acceptance. If a material change is unacceptable to a school, the school may terminate its license without penalty within 30 days after the effective date and receive a pro-rata refund of unused fees.
14. Governing law and disputes
These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws principles. The exclusive jurisdiction for disputes is the state and federal courts located in King County, Washington, except that schools acting under public-procurement rules may invoke the venue requirements specified in their procurement code or in the school’s order form.
15. Entire agreement
These Terms, together with the Privacy Policy and (where applicable) the signed Order Form and Data Privacy Agreement, constitute the entire agreement between you and OneTeam regarding the Service and supersede prior agreements. To the extent of any conflict between these Terms and a signed Order Form or DPA, the signed document controls.
16. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. The unenforceable provision will be modified to the minimum extent necessary to be enforceable, preserving the parties’ original intent.
